Alectra utilities

The Site currently offers a variety of services, all of which are collectively referred to as the Services. The use of some of these Services may require your acceptance of additional Terms specific to the Service at the time the Service is requested: 

1. You must be an existing Alectra customer to register to access My Alectra and use any of the Services. Alectra reserves the unqualified right to accept or decline a request to open a user account, terminate a user account, and to discontinue the provision of Services regulated to a user account. 
2. The use of your account number(s), username(s), password(s), or any other piece of information chosen by you, or by any person with or without your knowledge or consent, is legally binding and makes you responsible to the same extent and effect as if you had given signed, written authorization to Alectra. You authorize Alectra to accept, without any further verification, and you agree to be responsible for, all activities with respect to your account and the Site when conducted using your account number(s), username(s) and/or password(s). 
   For information respecting the way Alectra handles the privacy and security of your personal information, please refer to the Alectra Privacy Policy which is incorporated into and forms part of these Terms. 
3. By accessing this Site you are agreeing to these Terms, and by using any of the Services, you are consenting to the practices described in the Privacy Policy.
4. Alectra reserves the right to withdraw or alter any of the Services at any time. Alectra will use efforts to provide you with notice of any such withdrawal or alteration, for which notice may be provided through the Site, or in any other manner as Alectra deems appropriate in the circumstances.

The Site, the Services and all contents thereof, including, but not limited to, all text, images, data, html code, multimedia clips, graphics, icons, java code, account information and the section and arrangement of the contents of the Site or other materials on the Site (collectively the "Content"), are owned and protected intellectual property of Alectra or other third parties with all rights reserved unless otherwise noted (the Intellectual Property). Alectra and its suppliers shall retain all rights, title, ownership and interests in the Content. Except as expressly provided, nothing in these Terms or within the Site or any of the Services shall be construed as granting any license under any of the intellectual property rights, whether by implication, waiver, estoppel or otherwise. You are expressly prohibited from copying, transferring, reproducing, storing, uploading, distributing, publishing or using, in whole or in part, any of the Intellectual Property appearing on the Site or through use of any Services without the prior written consent of Alectra or any third party owner of the Intellectual Property. Alectra will take the appropriate legal action necessary to enforce its rights respecting any prohibited use of any Intellectual Property appearing on the Site. 

Certain words, phrases, names, designs, or logos used on the Site (collectively, the Marks), and any links from the Site may constitute trademarks, service marks or trade names of Alectra or other entities. The display of any such Marks does not imply that a license has been granted by Alectra or other entities. The Marks may not be distributed, modified, transmitted, re-posted, or used for public or commercial purposes without the prior written permission of Alectra. The Marks include, without limitation, the business name Alectra, the logo, and the slogan.

The Site, the Services and the Content are provided for information purposes only. Without limiting the foregoing, access to the Site is provided on an "as is", as and when available basis, and to the maximum extent permitted by applicable law, Alectra makes no representations or warranties of any kind regarding the Site, the Services and/or the Content, including without limitation, any representations or warranties that: (i) any of the Site, the Services or the Content will be accurate, complete, current, timely, merchantable or suitable for any particular purpose, (ii) the operation of the Site or the Services will be available, uninterrupted or error-free, (iii) there will be no delays, difficulties in use, defects, incompatibility, failures, omissions or loss of transmitted information; (iv) defects or errors in the Site, the Services or the Content will be corrected, (v) the Site or the Services will be free from any virus or other harmful component, "Trojan horse", worm, backdoor or other program code or programming instruction or set of instructions designed to disrupt, disable, harm interfere with or otherwise adversely affect computer programs, data files or operation, (vi) communications to or from the Site or the Services will be secure and/or not intercepted, (vii) the Site, the Services or the Content will not infringe any third party Intellectual Property and (viii) the Site, the Services and/or the Content will meet any of your requirements. Alectra and its affiliates, and their respective officers, directors, employees, agents, partners, licensors, suppliers, agents, successors and assigns (and each of their respective employees, officers, directors, shareholders and representatives) (collectively “Alectra Parties”) will not be responsible or liable for any delay, damage, loss or inconvenience you or any other person may incur if you are unable to access the Site and/or the Services, do not receive your reminder email indicating that your new Alectra Invoice is ready to be viewed on the Site or experience any delay in the processing of any transaction for any reason whatsoever (including without limitation due to any malfunction of the Services). 

THE ALECTRA PARTIES DO NOT MAKE ANY EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS, INCLUDING WARRANTIES OF TITLE OR NON-INFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABLE QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SITE, THE SERVICES OR THE CONTENT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE, THE SERVICES AND THE CONTENT IS AT YOUR OWN RISK. ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 

Alectra reserves the right to make changes at any time, without notice or obligation, to the Content of the Site and/or the Services.

You acknowledge and agree that you are using the Site, the Services and/or the Content solely at your own risk and liability. The Alectra Parties will not be responsible for any damages whatsoever, including without limitation direct, indirect, special, incidental, economic, exemplary, consequential, economic or punitive damages or any loss (including loss of profit or revenue, financial loss, loss of business opportunities, personal injury, death or any other foreseeable or unforeseeable loss, however caused), arising out of or in connection with the Site, the Content or the Services or the use of or inability to use the Site, the Content or the Services, including but not limited to any damages caused by any failure to perform, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus and other damage to computers, computer networks or other property, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record or data or information or programs, whether such damages or injuries are based on contract, tort (including, without limitation, negligence and gross negligence), strict liability, or otherwise, even if Alectra has been advised of the possibility of such damages and even if the Alectra Parties were negligent. This limitation of liability will apply regardless of whether any claim is based on contract, tort, negligence, strict liability or otherwise.

Alectra uses third-party cookies and retargeting pixels to target digital advertising to past visitors of www.alectrautilities.com on other websites. When a new visitor comes to our website, a cookie is placed in their browser and as the person surfs the Internet, targeted Alectra ads are served to them. 

Excluding any use of the My Alectra functionality (which is subject to the terms and conditions described below), no personal information about the visitor is collected. We collect only non-personally identifiable information such as: 

• Device, operating system, and browser 
• Date and time visited the web page 
• Number of page visits, ads shown, ads clicked and conversions 

Anyone can browse the Alectra website with cookies turned off. To opt out of cookies and no longer see targeted advertising on other websites, visit Google's Ads Settings or the Network Advertising Initiative opt-out page. 

Alectra also uses Google conversion cookies, which allow us to determine that someone clicked on one of our Google AdWords and later visited our website. Conversion cookies are not used for interest-based ad targeting and persist only for a limited time. Only anonymous data gathered from these cookies is tracked, such as keywords searched and ads clicked.

As a condition of your use of the Site, the Services or any Content, you agree to defend, indemnify and hold harmless Alectra and its affiliates, and their respective officers, directors, employees, agents, successors and assigns from and against any and all claims, losses, costs, demands, suits, damages, actions, proceedings, liabilities and expenses, including reasonable legal fees and expenses, suffered or incurred by Alectra from or related to your violation of these Terms or your use of the Site, the Services or any Content contained therein.

Absent the use of encryption, the Internet is not a secure medium and privacy cannot be ensured. Internet email is vulnerable to interception and forging. In using the Site or any Services, you agree to assume the risks associated with the transmission or loss of any data or information to or from Alectra on the Site or through the Services, including the interception of such confidential data or information by third parties and agree to be liable for any damages occurring as a result thereof.

The Site and the Services are provided for your informational, non-commercial, personal, lawful use only as authorized under these Terms or as otherwise provided on the Site or any Services. You are granted a limited revocable licence to use, display or print short extracts of the Content for your personal lawful non-commercial use only, provided such Content is not modified in any way. Any other use of the Content is prohibited. This is a limited licence grant, not a title transfer, and under this licence you may not market, commercially exploit, reproduce, copy, download, create derivatives of or modify the Content, remove any copyright or proprietary notices from the Content or distribute any Content of the Site or any Services, in whole or in part, without Alectra's written permission. You further agree not to adapt, translate, modify, decompile, disassemble, decrypt, reformulate, adapt, alter, adjust, change, frame, or reverse engineer any software, applications or programs used in connection with the Site or any Services. Alectra reserves the right to revoke this limited licence at any time without notice and for whatever reason, in its sole discretion, and to require you to delete, destroy, or otherwise remove any such material.

You may not access the Site, any Services and/ or the Content for any purpose that is unlawful or that is prohibited by these Terms. You agree that in accessing or using the Site, any Service(s) and/or the Content or submitting any information or materials to Alectra you shall: 

(i) act in compliance with all applicable laws, regulations and government order; 

(ii) not attempt to damage, modify, alter or deface any part of the Site, any Service(s) or any Content; 

(iii) not post, transmit, link to or otherwise distribute any information or software which contains a virus, a "Trojan horse", worms, time bombs or other programming routines that damage, interfere with, capture, intercept, expropriate or adversely affect any computer systems or programs, the Site or the Service(s). You must take reasonable and appropriate precautions to ensure that any computer system used to access the Site or any Service(s) is secure and free of viruses or other harmful or destructive properties; 

(iv) not upload, post, transmit, link to or otherwise distribute any inappropriate, defamatory, indecent, offensive, threatening, harassing, abusive, fraudulent, libellous or unlawful material or material that would constitute a criminal offence or give rise to civil liability or information or material that violates any rights of another person or entity, or contains advertising, solicitations, bulk unsolicited emails or spam, chain letters, pyramid opportunities or offers for the sale of goods or services; 

(v) not impersonate any person or entity, operate under an alias, conceal your identity or falsely state or otherwise misrepresent your association with any person or entity, forge headers, or otherwise manipulate username(s) in order to disguise the origin of any content you submit or otherwise transmit to Alectra via the Site or the Services; 

(vi) not directly or indirectly, use or access, or encourage, solicit, permit, facilitate, aid, assist or abet the use or access of the Site or the Services through any manual process or any automatic, electronic or technical device, including but not limited to automated scripts, robots, crawls, screen scrapers, web bots, deep-links, indexes, spiders, click-spams, macro programs, or any other device, program, software, system, algorithm, methodology or technology, now known or hereinafter discovered, that performs the same or a similar function, in order to, without limitation: data mine; screen scrape; data process; access, extract, copy, distribute, aggregate or acquire information; generate impressions or clicks; input or store information; search or generate searches; or manipulate or monitor any portion of the Content, the Site or the Service(s); 

(vii) not use or access the Site or use any Service in such a manner, or otherwise take any action, that taxes Alectra's infrastructure to an unreasonable and disproportionate extent, or reduces the speed of the Site or the Service, that otherwise interferes with the normal functioning of the Site or any Service or otherwise abuses or overuses the Site or Service; 

(viii) not circumvent, or attempt to circumvent, any measures or precautions taken by Alectra or any of its respective contractors to prevent the use or access of the Site or any Service, or otherwise take any action, in violation of these Terms; 

(ix) not use the Site or Service to gain unauthorized entry or access to other computer systems or networks; 

(x) not mirror the Site or any Service or any of its content on any other server without the express written permission of Alectra; and 

(xii) not engage in any other conduct or activity that either conflicts with these Terms or that Alectra deems, in its sole, absolute and unfettered discretion, to be in conflict with these Terms.

This Site contains links to other web sites ["Third-Party Sites"]. The Third-Party Sites were independently developed by parties other than Alectra, and Alectra assumes no responsibility whatsoever for the accuracy, currency, quality, or appropriateness of the information contained at the Third-Party Sites. In providing the links to the Third-Party Sites, Alectra is not, in any manner, disseminating or endorsing the material contained in those sites.

Alectra reserves the right to suspend, discontinue, terminate, or modify any aspect of the Site, Services or Content and/or your access to or use of the Site, Services or Content at any time for any reason whatsoever with or without notice to you. Upon termination, you agree to immediately delete or destroy any downloaded or printed material obtained from the Site. Alectra further reserves the right to refuse to post on the Site and/or any Service and the right to remove from the Site and/or any Service, any information or materials, in whole or in part, that Alectra deems, in its sole discretion, to be inappropriate, unlawful or in violation of these Terms. If you are dissatisfied with the Site, any of the Services, any of the Content, or any of the Terms, rules, policies, or practices of Alectra in operating the Site and the Services, you acknowledge that your sole and exclusive remedy is to discontinue using the Site and the Services.

(a) Subject to section 12(b), these Terms form the entire agreement between you and Alectra with respect to your use of the Site, the Services and the Content. Failure or delay by Alectra to enforce the provisions of these Terms or Alectra’s rights or remedies at any time will not be construed to be a waiver of Alectra's rights under these Terms and will not prejudice Alectra’s right to take subsequent action. If any provision in these Terms is illegal, invalid, or unenforceable by law, as determined by a court of competent jurisdiction, it shall be deemed to be severed from these Terms and the remaining provisions shall continue in full force and effect. 

(b) In addition to these Terms, you shall abide by and be bound by Alectra's Conditions of Service with respect to any and all services provided to you by Alectra. In the event of a conflict between Alectra’s Conditions of Service and these Terms regarding the Services as defined herein, these Terms shall govern.

The laws of the Province of Ontario and laws of Canada applicable therein shall govern any dispute relating to the use of the Site, the Services and/or the Content including without limitation the interpretation of these Terms, despite any conflict of laws provision in force where you live or the physical location of your computer system. You hereby consent and attorn to the exclusive jurisdiction of the applicable courts located in the City of Toronto in connection with any actions or dispute relating to your use of this Site, the Services and/or the Content.

The headings before each section in these Terms are for convenience only, and do not affect the meaning of these Terms. Save and except as otherwise expressly defined, words or abbreviations which have well known, or trade meanings are used herein in accordance with their recognized meaning.

The invalidity of any of the provisions of these Terms, as determined by a court of competent jurisdiction, shall not affect the validity of the remaining provisions.

Alectra reserves the unqualified right to accept or decline a request to open a user account, terminate a user account and to discontinue the provision of Services regulated to a user account. 

The use of your account number(s), username(s), password(s), or any other piece of information chosen by you, or by any person with or without your knowledge or consent, is legally binding and makes you responsible to the same extent and effect as if you had given signed, written authorization to Alectra. You authorize Alectra to accept, without any further verification, and you agree to be responsible for, all activities with respect to your account and the Site when conducted using your account number(s), username(s) and/or password(s). 

For information respecting the way Alectra handles the privacy and security of your personal information, please refer to the Alectra Privacy Policy which is incorporated into and forms part of these Terms. 

By accessing and using the Services or otherwise providing Alectra with your personal information, you consent to the practices described in the Privacy Policy. 

Alectra reserves the right to withdraw or alter any of the Services at any time, on reasonable notice to you, which notice may be provided through the Site, or in any other manner as Alectra deems appropriate in the circumstances.

By subscribing to Alectra’s paperless billing, you expressly agree to be bound by, accept, and comply with these Terms: 

(a) You will no longer receive invoice(s) or billing through the mail or in paper format. You will receive by a Bill Alert by SMS and/or Email to notify you when your electronic bill is ready for viewing on the Site. 

(b) It is your responsibility to ensure that your My Alectra profile information is correct and up to date. Any failure by you to receive a Bill Alert by SMS and/or Email that your bill is ready for viewing, including, but not limited to, providing Alectra with an incorrect email address or mobile phone number, or exceeded mail quotas, will not limit your obligation to pay your bill prior to the deadline for payment. 

(c) You are solely responsible for ensuring that Alectra receives all payments by you on time and by the payment due date. Without limiting the foregoing, Alectra is not responsible for any late, misdirected, or failed payments or attempts to pay, regardless of the cause (including, without limitation, failure or malfunction of the paperless billing service and links to Third-Party Sites) or for any resulting fees, interest or other charges imposed by Alectra, credit card issuer or other parties. 

(d) Printed copies of your electronic bill cannot be used to pay your bill at a bank (or other financial institution) or by mailing payment to Alectra. 

(e) It is your responsibility to ensure that you have the appropriate hardware, software, and Internet access services to allow you to access your electronic bill, and to notify Alectra if there is any difficulty in accessing your electronic bill. 

(f) If you wish to receive paper billing or billing through the mail, you can update your paperless billing option through the Site.

By subscribing to Alectra’s Short Message Service for billing and/or usage notifications ("SMS"), or subscribing to receive billing and/or usage notifications sent to you by email (“Email”), you agree that you have read and understood, and that you accept and agree to be bound by, these Terms, without limitation or qualification. 

You consent to the collection, use and disclosure of your personal information to be collected and used in accordance with Alectra's Privacy Policy, as may be amended from time to time. 

SMS Service 

• The SMS provides access to important services related to customer billing and electricity usage information including invoice statements, payment reminders, and usage alerts. Enrol in the SMS by updating your preferences in My Alectra. You also acknowledge and agree that you are 18 years of age or older. 
• You are under no obligation to continue to use the SMS and may cease using the SMS and unsubscribe at any time and without prior notice to Alectra. To unsubscribe from SMS, update your notification preferences in My Alectra. 
• You are under no obligation to continue to use the SMS and may cease using the SMS and opt-out at any time and without prior notice to Alectra. Just text STOP to 28282 to stop and opt-out. We will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just follow the procedure above to register. We will start sending SMS messages to you again. 
• If, at any time, you forget what keywords are supported by our SMS, just text HELP to 28282 for help. We will respond with several keywords supported by our service: HELP, AIDE, INFO, STOP, ARRET. 
• We are able to deliver SMS messages to the following major mobile phone carriers: Aliant Mobility, Bell Mobility, Eastlink, Fido, Mobilicity, MTS, NorthernTel Mobility, Rogers Wireless, SaskTel Mobility, Telebec Mobilite, TELUS Mobility, Videotron, Virgin Mobile Canada, Freedom Mobile. 
• While Alectra does not charge you for your use of the SMS, you may be charged standard data fees and text messaging rates by your mobile phone carrier depending on your plan when you send or receive SMS messages. Message frequency varies. If you have any questions about your text plan or data plan, contact your wireless provider. 

Email Service

• Email service provides access to important services related to customer billing and electricity information including invoice statements, payment reminders, and usage alerts. Enrol in Email service by updating your notification preferences in My Alectra. 
• You are under no obligation to continue to use the Email service to receive your invoices and may unsubscribe at any time without prior notice to Alectra. To unsubscribe from Email service, update your notification preferences in My Alectra. 

SMS and Email Service 

1. User Conduct: You acknowledge and agree that you may not, and warrant that you will not: 
   1. send or otherwise make available content via SMS or email that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, or contains hate speech; and/or 
   2. use the SMS in violation of any local, provincial and/or federal law. 
2. NO WARRANTIES: YOUR USE OF THE SMS AND/OR ELECTION TO RECEIVE INVOICE EMAILS IS AT YOUR SOLE RISK AND THE SMS AND INVOICE EMAILS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALECTRA, ITS AFFILIATES, PARTNERS, LICENSORS, SUPPLIERS AND AGENTS (AND EACH OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS AND REPRESENTATIVES) (COLLECTIVELY, THE "ALECTRA PARTIES") DO NOT GUARANTEE OR WARRANT: (I) THE PERFORMANCE, AVAILABILITY, COVERAGE, UNINTERRUPTED USE, SECURITY OR OPERATION OF THE SMS OR INVOICE EMAILS; (II) THE ACCURACY, TIMELINESS, RELIABILITY OR COMPLETENESS OF THE SMS OR INVOICE EMAILS, THE SMS OR INVOICE EMAILS CONTENT AND/OR THE RESULTS OBTAINED; AND/OR (III) THAT THE SMS AND/OR INVOICE EMAILS WILL MEET YOUR REQUIREMENTS. THE ALECTRA PARTIES DO NOT MAKE ANY EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS, INCLUDING WARRANTIES OF TITLE OR NON-INFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABLE QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SMS, THE INVOICE EMAILS OR THE CONTENT OF THE SMS OR THE INVOICE EMAILS. YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE SMS AND/OR YOUR ELECTION TO RECEIVE INVOICE EMAILS IS AT YOUR OWN RISK. ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 
3. LIMITATION OF LIABILITY: THE ALECTRA PARTIES WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ECONOMIC OR PUNITIVE DAMAGES OR ANY LOSS (INCLUDING LOSS OF PROFIT OR REVENUE, FINANCIAL LOSS, LOSS OF BUSINESS OPPORTUNITIES, PERSONAL INJURY, DEATH OR ANY OTHER FORESEEABLE OR UNFORESEEABLE LOSS, HOWEVER CAUSED) THAT RESULTS FROM OR RELATES DIRECTLY OR INDIRECTLY TO ANY ASPECT OF THE SMS, INVOICE EMAILS OR THE CONTENT OF THE SMS OR INVOICE EMAILS, YOUR PARTICIPATION IN THE SMS AND/OR ELECTION TO RECEIVE INVOICE EMAILS, EVEN IF WE WERE NEGLIGENT OR WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (I) THE USE OR THE INABILITY TO USE THE SMS OR TO RECEICVE THE INVOICE EMAILS; (II) STATEMENTS AND/OR CONTENT OF SMS OR INVOICE EMAILS; (III) OUR TERMINATION, RESTRICTION OR SUSPENSION OF EITHER THE SMS OR THE E-MAILING OF INVOICES OR BOTH; (IV) OUR CHANGES TO THE SMS OR THE INVOICE EMAILS; (V) ANY UNAVAILABILITY OF THE SMS OR INVOICE EMAILS; (VI) ANY ERRORS IN THE CONTENT OF THE SMS AND/OR THE INVOICE EMAILS; AND/OR (VII) ANY OTHER MATTER RELATING DIRECTLY OR INDIRECTLY TO THE SMS AND/OR THE INVOICE EMAILS. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE PARTY LIABLE OR ALLEGEDLY LIABLE WAS ADVISED, HAD OTHER REASON TO KNOW, OR IN FACT KNEW OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. 

4. Service Changes and Termination: Alectra may amend, restrict, suspend, or otherwise change, at any time, any aspect of the SMS or the Invoice Emails, including any provision of these Terms (including Alectra’s Conditions of Service and Website Terms of Use). Except as otherwise provided above regarding any material changes that may be posted on Alectra’s website and/or may be sent via a broadcast message. If you do not accept such change, your remedy is to terminate your participation in the SMS and/or receipt of Invoice Emails as set out above. Your continued use of the SMS and/or receipt of Invoice Emails after any changes to these Terms constitutes your acceptance of the new terms. 

   Alectra reserves the right to terminate the SMS, the sending of Invoice Emails, or disable any subscriber's use of or access to the SMS or Invoice Emails for any reason and without any notice, and to refuse access to any prospective subscriber for any reason. Your participation in the SMS and/or receipt of Invoice Emails will be automatically terminated as of the date you cease to be a customer of Alectra for any reason. 

5. General: These Terms (including Alectra’s Conditions of Service and Website Terms of Use, referred to above) contain the entire agreement between you and Alectra regarding your use of the SMS and/or receipt of Invoice Emails, and supersede all prior understandings between you and Alectra with respect to the SMS and/or Invoice Emails. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of these Terms, and the remaining portions shall remain in full force and effect. 

You have chosen to invite a Guest User to view your online account. 

The Guest User will receive an email invitation with a confirmation link. When they accept your invitation, they will be prompted to create a My Alectra login which will require the Guest User to agree to these Terms in connection with the Guest User’s access and use of the Site and Services. Once the Guest User’s My Alectra login has been created, the Guest User will have access as requested. 

To remove a Guest User’s access, you can do so by selecting the delete option under your Guest User profile.

Alectra will automatically withdraw your payment from your financial institution on your bill due date. 

By enrolling in Alectra’s pre-authorized payment service, you authorize Alectra and its affiliates and agents (collectively "Alectra") and any financial institution you include in your enrollment form, to have the full amount due as reflected in your monthly Alectra bill to be deducted from the enrolled bank account and paid to Alectra on the bill due date. Alectra monthly bills will be provided no less than 20 days before any monthly pre-authorized payment is made except for customers on an Equal Payment Plan. You acknowledge that you will not otherwise receive, and you hereby waive your right to receive, pre-notification of the amount of the pre-authorized payment. 

This authorization is to remain in effect until Alectra has received notification from you in writing, via recorded telephone call or via online communication to cancel this authorization. Any cancellation will be effective for the first monthly payment to occur more than 30 days after the date the notice of cancellation is received by Alectra. You may obtain a sample cancellation form to send to Alectra, or more information on your right to cancel a pre-authorized payment agreement at your financial institution or by visiting https://payments.ca.  

You have certain recourse rights if any pre-authorized payment does not comply with this agreement. For example, you have the right to receive reimbursement for any pre-authorized payment that is not authorized or is not consistent with your pre-authorized payment authorization. To obtain a form for a Reimbursement Claim to send to Alectra, or for more information on your recourse rights, you may contact your financial institution or visit https://payments.ca. 

Your Alectra bill may be paid using Visa, MasterCard, or American Express through Alectra’s third-party payment processor iPaySmart Inc. 

Pay Online 

• The use of the online payment functionality is subject to iPaySmart Inc’s terms and conditions and the service fee noted below. By utilizing this payment functionality, you indicate your acceptance of such terms and conditions and the service fee noted below. 
• Each transaction is subject to a service fee of 1.49% of the total amount paid. 
• Alectra does not receive any portion of the service fee.

Alectra will use reasonable efforts to split your annual charges into approximate equal monthly payments as further described below, followed by an account reconciliation payment/credit in the 12th month. 

Alectra will conduct a periodic review to ensure the monthly payment amount accurately reflects your consumption patterns and charges. If there is a significant difference Alectra will notify you of a change in your monthly payment amount. 

• You will be notified by letter confirming your enrollment in the Equal Payment Plan. You will continue to pay your bill(s) until you receive this notification. 
• Once on the Equal Payment Plan, you will continue to receive your Alectra bill as usual. 
• Your participation in the Equal Payment Plan can be terminated, upon written notification (allow 14 days) at any time by either the customer or Alectra. 
• Upon termination of participation in the Equal Payment Plan, to the extent amounts you have paid under the Equal Payment Plan are:  
  • less than the actual charges incurred to date for the Services you receive from Alectra, you shall be invoiced the difference on your next Alectra invoice; 
  • more than the actual charges incurred to date for the Services you receive from Alectra, you shall be promptly issued a credit for the difference.

Alectra offers flexible payment arrangements and Arrears Management Programs that allow eligible customers to pay their outstanding electricity bill arrears in instalments. 

• By accepting a flexible payment arrangement or Arrears Management Program (each a “Payment Arrangement Plan”) you agree that Alectra will bill your agreed monthly instalments to address your outstanding electricity bill arrears and all current monthly charges you incur for your ongoing electricity usage, all of which will be required to be paid by the due date each month. 
• If you do not make timely payments for your outstanding electricity bill arrears in accordance with the Payment Arrangement Plan, this Payment Arrangement Plan may be cancelled by Alectra at anytime, and your account will fall into collections and your account may be at risk for further action which may or may not include interruption of your electricity service.

Alectra will make every effort to apply your Rate Option Selection to your next electricity statement. 

• If this month’s bill is already in process, your selection will be applied on the following bill. 
• More than one Rate Option Selection cannot be processed on your Alectra account in one monthly billing cycle.
• Your account will be billed your chosen rate plan starting with your next bill cycle.

In connection with any opening, transfer or closing of an account: 

• For Closings, only Sections 2, 3 and 6 below will apply; 
• For Openings only: Sections 1 to 5 below will apply; and 
• For Closings and Openings: All sections below will apply. 

1. You request Alectra to supply electricity distribution services to the premises described herein, and agree to accept electricity distribution services from Alectra in accordance with its Conditions of Service, as may be amended from time to and in so accepting, agree (jointly and severally) to pay Alectra in accordance with the terms of the accounts (bills) rendered by Alectra from the date the service commences; 
2. You acknowledge and consent to the disclosure of your personal information by Alectra to Alectra’s service providers, only as may be reasonably necessary for Alectra to provide you with the services you have requested. 
3. You understand that a security deposit may be required in connection with the establishment of this account and if you fail to maintain good payment history in accordance with Alectra's Conditions of Service, as may be amended from time to time, you will be subject to the standard collection procedures of Alectra including: notices of late payment; interest charges on overdue payments; collection agency activity; notification of credit bureaus; and termination of service as appropriate. Service may be terminated for nonpayment of any overdue balance after written notice has been given. 
4. You understand that a New Account Charge will be applied to your account. 
5. You understand that a Reconnection Charge may be applied to your account if the service to the premises was discontinued prior to the execution of this document; and 
6. You agree to inform Alectra at least five business days in advance of the termination of service date.

• You consent to the collection, use and disclosure of your personal information to be collected and used in accordance with Alectra’s Privacy Policy, as may be amended from time to time.
• You authorize and consent to the receipt and provision of account information about you for credit grantors, credit bureaus and suppliers of services. 
• You understand that a security deposit may be required in connection with the establishment of this account and if you fail to maintain good payment history in accordance with Alectra’s Conditions of Service, as may be amended from time to time, you will be subject to the standard collection procedures of Alectra including: notices of late payment; interest charges on overdue payments; collection agency activity; notification of credit bureaus; and termination of service as appropriate. Service may be terminated for nonpayment of any overdue balance after written notice has been given. 
• You may terminate this agreement by providing written notice to Alectra, which notice shall be effective five business days after it is received by Alectra. 

If a Transfer Agreement selected: 

• You agree to be the interim account holder for electricity service to the Rental Premises. 
• You understand that whenever a tenant closes their electricity account, you will automatically assume responsibility for the electricity account and continued electricity service (agreement includes Time-of-Use, Tiered, or Ultra-Low Overnight rate option selection) starting on the tenant's termination date and until such time as a new tenant establishes an account for electricity service. 
• No reconnection or new account charges will apply to you under this option. 
• You further understand and agree that you will assume responsibility for the water account and related charges where applicable.

If a Disconnection Agreement selected:  

• You elect not to become the interim account holder and decline continued electricity service to the Rental Premises as of such time as the tenant closes their electricity account.
• You understand and agree that electricity service to the Rental Premises will be disconnected upon the account termination date as notified by the tenant and until such time as a new tenant or other person establishes an account with Alectra for the Rental Premises. 
• You will not hold Alectra responsible for any loss or damage occasioned by the connection or disconnection of service to the Rental Premises, as set out in Alectra's Conditions of Service, as may be amended from time to time. 
• You further understand and agree that reconnection and new account charges will apply to the new account holder and you will assume responsibility for the water account and related charges where applicable.

• You, the lawyer for the purchaser/vendor(s), certify that all information provided is true and complete to the best of your knowledge; 
• You, the lawyer for the purchaser/vendor(s), request Alectra to supply electricity distribution services to the premise(s) described herein, for the Customer(s), who agree to accept electricity distribution services from Alectra in accordance with its Conditions of Service, as may be amended from time to time and in so accepting, agree (jointly and severally) to pay Alectra Utilities in accordance with the terms of the accounts (bills) rendered by Alectra from the date the service commences; 
• You, the lawyer for the purchaser/vendor(s), represent that the Customer(s) consent to the collection, use and disclosure of their personal information to be collected and used in accordance with Alectra’s Privacy Policy, as may be amended from time to time; 
• You, the lawyer for the purchaser/vendor(s), represent that the Customer(s) authorize and consent to the receipt and provision of account information about it/them from credit grantors, credit bureaus and suppliers of services;
• You, the lawyer for the purchaser(s), represent that the Customer(s) understand that a security deposit may be required in connection with the establishment of this account and if they fail to maintain good payment history in accordance with Alectra's Conditions of Service, as may be amended from time to time; 
• You, the lawyer for the purchaser(s), represent that the Customer(s) understand that a New Account Charge will be applied to their account;
• You, the lawyer for the purchaser/vendor(s), represent that the Customer(s) understand that a Reconnection Charge may be applied to their account if the service to the premises was discontinued prior to the execution of this document; and 
• You, the lawyer for the purchaser/vendor(s), represent that the Customer(s) understand that they must inform Alectra at least five business days in advance of the termination of service date.
